FANS.LA Content Provider Agreement

This Content Provider Agreement ("Agreement") is a binding contract between FANS.LA Social LLC, a Wyoming limited liability company doing business as "FANS.LA" ("FANS.LA", "we", "us" or "our"), and the individual content creator or model who accepts this Agreement ("Creator", "you" or "your").

By creating a creator account on FANS.LA, uploading content, or using any creator features (including payouts and affiliate tools), you agree to be bound by this Agreement, our Terms of Service, Privacy Policy and any other policies referenced in those documents (collectively, the "Platform Terms"). If you do not agree, you must not use FANS.LA as a Creator.

1. Definitions

For purposes of this Agreement:

"Platform" means the FANS.LA website, mobile versions, APIs and any related services operated by FANS.LA.
"Creator Account" means your account registered as a content provider/creator on the Platform.
"Content" means any material you upload, stream, post, publish, or otherwise provide through the Platform, including without limitation photos, videos, audio, text, livestreams, stories, messages, metadata, usernames, profile information and promotional materials.
"Subscriber" means any user of the Platform who pays for access to your profile or purchases your Content (including subscriptions, paid posts, tips or similar transactions).
"Net Revenue" means gross amounts actually received by FANS.LA from Subscribers for access to your Content, less (a) payment processing fees and costs, (b) refunds and chargebacks, (c) taxes and levies we are required to collect or remit, and (d) any other amounts explicitly described in the Platform Terms.
"Creator Share" means the portion of Net Revenue payable to you for transactions involving your Content, as displayed from time to time in your Creator dashboard or in official earnings documentation within the Platform.
"Hold Period" means the time window during which amounts from a transaction are pending and not yet eligible for payout. As of the date of this Agreement, the standard Hold Period is 15 (fifteen) days from the date of each transaction, but we may modify this period with prior notice through the Platform.
"Affiliate Features" means any tracking links, referral tools, self-promotion links, creator-to-creator promotion, or other functionality that allows you to earn commissions for sending traffic or referring users/creators, in addition to your Creator Share.
"Promotional Assets" means your profile information, username, display name, avatar, thumbnails, titles, captions, preview clips, screenshots and other limited excerpts of your Content that reasonably represent your style and can be used to promote you or the Platform.

2. Eligibility and Registration

2.1 Minimum age. You must be at least 18 years old, or the legal age of majority in your jurisdiction (whichever is higher), to register as a Creator and to appear in or upload any Content.
2.2 Truthful information. You represent and warrant that all information you provide to FANS.LA (including name, date of birth, address, payment details and tax information) is true, accurate and complete, and that you will keep this information up to date.
2.3 Know Your Customer (KYC). We may require you to complete identity verification (KYC), including but not limited to: government-issued photo ID; selfie and/or selfie holding your ID; and any additional documents (such as proof of address or tax forms) that we reasonably request. We may refuse, suspend or terminate your Creator Account if KYC verification fails, appears fraudulent or cannot be completed to our satisfaction.
2.4 Multiple persons / collaborators. If your Content includes any other person, you represent and warrant that each such person is at least 18 years old (or the legal age of majority in their jurisdiction) and that you have obtained and will maintain all necessary consents, licenses, model releases, identity records, and age verification records for each such person.
Such consents and releases must include, at minimum:
- Consent to be depicted in the Content.
- Consent to allow public distribution of the Content and upload of the Content to the Platform.
- Consent to allow the Content to be downloaded by users, if the Content is made available for downloading.
You will provide copies of such releases, consents, identification records, and age verification records to us upon request.
2.5 Independent contractor. You act as an independent contractor, not as an employee, agent or partner of FANS.LA. Nothing in this Agreement creates an employment relationship, joint venture or partnership.

3. Creator Account and Security

3.1 Account responsibility. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Creator Account.
3.2 Shared access. You must not share your password with Subscribers or unauthorized third parties. If you work with an agency, assistant or manager, you remain fully responsible for their actions on your account.
3.3 Security incidents. You must notify us promptly if you suspect any unauthorized access, security breach or misuse of your account.

4. Content and License to FANS.LA

4.1 Ownership. As between you and FANS.LA, you retain ownership of your Content, subject to the licenses you grant to us and to Subscribers under this Agreement and the Platform Terms.
4.2 License to FANS.LA. You grant FANS.LA a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, reproduce, adapt, modify, translate, publish, distribute, transmit, display and perform your Content: (a) to operate, maintain and improve the Platform; (b) to make your Content available to Subscribers as intended; (c) for content moderation, fraud prevention and legal compliance; and (d) for internal analytics and testing.
4.3 License to Subscribers. You authorize us to grant each paying Subscriber a limited, personal, non-transferable, non-sublicensable, revocable license to access and view your Content through the Platform, solely for personal, non-commercial use, in accordance with the Platform Terms.
4.4 Non-exclusivity. This Agreement is non-exclusive. You are free to create and monetize content on other platforms, provided you comply with your obligations under this Agreement and do not misuse our confidential information or intellectual property.
4.5 Technical processing. We may encode, transcode, reformat, compress, cache or otherwise process your Content for technical reasons (for example, to optimize storage or delivery) without altering its substance in a misleading way.
4.6 Backups. We are not obligated to retain your Content indefinitely. You are responsible for keeping your own backups outside the Platform.
4.7 Promotion by FANS.LA. In addition to the license granted in Section 4.2, you expressly authorize FANS.LA to use your Promotional Assets to promote your profile, your Content and the Platform in any media and format that we reasonably consider appropriate, including without limitation:
- display in internal sections such as recommended creators, trending, new or similar placements;
- inclusion in pages, tools or dashboards that help users, affiliates or partners discover creators to follow or promote;
- inclusion in emails, notifications, in-product messages or other communications to users, creators, affiliates or partners; and
- use on FANS.LA-branded websites, blogs, landing pages and official social media accounts to represent the type of content available on the Platform.
Unless you give us additional written consent, we will not publish full scenes or complete paywalled Content outside the Platform. Promotional use will typically consist of thumbnails, short previews or screenshots that reasonably represent your style without giving away the full paid Content.
4.8 Use of Promotional Assets by affiliates. To the extent you enable or do not opt out of features that allow affiliate promotion of your profile, you authorize FANS.LA to (a) make your Promotional Assets available to registered affiliates and partners inside FANS.LA-controlled environments; and (b) sublicense to such affiliates a limited, non-exclusive, revocable license to use those Promotional Assets solely for the purpose of promoting your FANS.LA profile and/or the Platform, provided that all links direct users back to FANS.LA. Affiliates must comply with this Agreement, the Platform Terms and any Affiliate Program Terms. They are not allowed to sell your Content as their own product, remove watermarks, or use your Promotional Assets to promote competing platforms unless you explicitly authorize this outside FANS.LA.

5. Prohibited Content and Conduct

You agree that you will not upload, publish or engage in any of the following through the Platform:

5.1 Minors and age-restricted content. Any Content depicting or involving minors (persons under 18 or under the age of majority in their jurisdiction), whether real or simulated, including content that could reasonably be interpreted as involving minors (for example, persons presented as underage, "teen" roleplay where the character is under 18, or similar scenarios).
5.2 Non-consensual or exploitative content. Content involving sexual assault, coercion, exploitation, revenge porn, hidden cameras or any non-consensual acts; content obtained or shared without the full consent of all participants; or any form of trafficking, exploitation or abuse.
5.3 Illegal activity. Content that promotes, depicts or facilitates illegal activities, including but not limited to drug trafficking where illegal, weapons trafficking, fraud, or content that incites violence or hatred against protected groups.
5.4 Self-harm or extremism. Content that promotes or glorifies self-harm, suicide or extremist organizations.
5.5 Intellectual property violations. Content that infringes any copyright, trademark, publicity or privacy right of any third party, including uploading content you do not own or do not have the right to license (for example, full scenes copied from other sites without permission).
5.6 Spam and misleading behavior. Using bots, scripts or artificial methods to generate likes, views, clicks or purchases; misleading Subscribers about what they will receive; or using Affiliate Features in ways that artificially inflate statistics or commissions.
5.7 Security abuse. Attempting to probe, scan or test the vulnerability of the Platform or to bypass security or authentication measures.
5.8 Card Association Standards. Any Content, activity, promotion, transaction, communication, profile information, username, display name, metadata, or other use of the Platform that violates, attempts to circumvent, or is inconsistent with the rules, requirements, operating regulations, or compliance standards of any applicable card association, payment network, payment processor, acquiring bank, sponsor bank, or financial institution is strictly prohibited.
You represent and warrant that all Content and activities conducted through your Creator Account comply with all applicable payment card network rules and standards, including but not limited to those established by Visa, Mastercard, Discover, American Express, JCB, payment processors, acquiring banks, and any successor or equivalent organizations.
Without limiting any other provision of this Agreement, FANS.LA may remove Content, restrict features, suspend payouts, suspend or terminate your Creator Account, or take any other action it deems necessary if we reasonably believe that any Content or activity violates card association standards or creates compliance, regulatory, financial, reputational, chargeback, fraud, or payment processing risk.
For the avoidance of doubt, all Content uploaded to the Platform must comply with this Agreement, all applicable laws, and must not violate any card association standards.

6. Intellectual Property, DMCA and Takedowns

6.1 Your responsibility. You are solely responsible for ensuring that your Content does not infringe third-party rights and that you have all rights necessary to grant the licenses described in this Agreement.
6.2 Takedown requests by others. If we receive a credible copyright or similar complaint regarding your Content, we may remove or disable access to that Content and notify you. Where permitted by law, you may have the opportunity to submit a counter-notice.
6.3 Your takedown requests. If you believe any content on the Platform infringes your rights, you must report it using our copyright / DMCA procedure, as described in the Platform Terms.

7. Fees, Revenue Share and Taxes

7.1 Platform fees. FANS.LA charges a platform fee from each transaction involving your Content. Your Creator Share and the platform fee may vary by product type (subscription, paid post, tip, promotion, affiliate commission, etc.) and by traffic source. The current structure will be communicated in your Creator dashboard or earnings documentation and may be updated with notice.
7.2 Net Revenue. Your Creator Share is calculated on Net Revenue, not on the gross amounts charged to the Subscriber.
7.3 Tax obligations. You are solely responsible for reporting and paying all taxes that apply to your earnings as an independent contractor. We may withhold taxes from your payouts when required by law and may request tax forms as a condition of payout.
7.4 Currency and fees. Payouts may be made in specified currencies and via certain payment methods only. You are responsible for bank fees, FX conversion costs and third-party fees charged by your payout provider.

8. Hold Period, Payouts and Chargebacks

8.1 Hold Period. Each transaction involving your Content (including subscriptions, paid posts and tips) is subject to a Hold Period. During the Hold Period, amounts are marked as pending and are not available for payout. After the Hold Period, if there are no disputes or fraud alerts, amounts move to your available balance.
8.2 Requesting payouts. Subject to this Agreement and the Platform Terms, you may request a payout of your available balance through the "Request Payout" or "Payout / Withdraw" section of your Creator Account, once you meet any minimum payout threshold displayed in your dashboard.
8.3 Verification before payout. We may delay or withhold payouts if KYC or tax documentation is incomplete, if there is suspicion of fraud or policy violations, or if we are required to do so by law, a court order or a regulator.
8.4 Chargebacks and disputes. If a transaction involving your Content is subject to a chargeback, refund or dispute, we may deduct the corresponding amount (including associated fees) from your available or future earnings. If there is insufficient balance, you authorize us to offset such amounts against future payouts or to invoice you for the shortfall.

9. Affiliate Features and Self-Promotion

9.1 Access to Affiliate Features. FANS.LA may allow you to use Affiliate Features either (a) as a Creator promoting your own profile ("self-referral"); and/or (b) as an affiliate promoting other creators or Platform content. These features may be governed by separate Affiliate Program Terms, which complement this Agreement.
9.2 Tracking links. Tracking links generally follow a pattern in which the promoted creator, the affiliate identifier and a traffic "source" are encoded in the URL. You agree to use the tracking system honestly and not to manipulate, forge or generate artificial traffic or events.
9.3 Attribution. Where applicable, FANS.LA may use a last-click or similar attribution model to determine which tracking link receives commission for a transaction. Details may be updated in the Affiliate Program Terms or documentation.
9.4 Changes to affiliate rules. FANS.LA may change commission rates, attribution models and program rules with reasonable notice through the Platform. Your continued use of Affiliate Features after such notice constitutes acceptance of those changes.
9.5 Creator-approved promotion by affiliates. Where you enable, do not opt out of, or otherwise participate in programs that allow affiliates to promote your profile, you understand and agree that your profile and Promotional Assets may be displayed to affiliates and partners as potential offers to promote. Affiliates may use these assets strictly to drive traffic back to FANS.LA under the limitations in this Agreement, the Platform Terms and the Affiliate Program Terms.

10. Compliance, Moderation and Enforcement

10.1 Monitoring. We may, but are not obligated to, monitor Content and Creator activity for compliance, including through automated tools and human review.
10.2 Actions we may take. If we reasonably believe that you or your Content violate this Agreement or the Platform Terms, or create legal or security risk, we may, at our sole discretion and without prior notice: (a) remove or restrict access to specific Content; (b) suspend or limit your Creator Account or certain features (including payouts and Affiliate Features); (c) withhold pending payouts during investigation; (d) terminate your Creator Account; and/or (e) report matters to law enforcement or regulators, where required.
10.3 No obligation to host Content. We do not guarantee that any Content will be available on the Platform at all times or indefinitely.

11. Term and Termination

11.1 Term. This Agreement takes effect when you first accept it or start using the Platform as a Creator and continues until terminated by you or us.
11.2 Termination by you. You may terminate this Agreement at any time by closing your Creator Account or by requesting closure through support.
11.3 Termination by us. We may suspend or terminate your Creator Account at any time, with or without cause, subject to applicable law and the Platform Terms.
11.4 Effect of termination. Upon termination, your Creator Account will be closed or downgraded, and access to Creator-only features will end. Pending Holds and payouts may be processed or withheld according to this Agreement, any ongoing investigations, chargebacks or legal requirements. We may retain copies of your Content and account data as required for legal, security, archival or compliance purposes.
11.5 Survival. Sections that by their nature should survive termination (including payment obligations, warranties, indemnities, limitations of liability and dispute resolution) will remain in effect.

12. Warranties and Disclaimers

12.1 Your warranties. You represent and warrant that: (a) you are at least 18 (or the age of majority in your jurisdiction); (b) all persons appearing in your Content are at least 18 and you have verified their age; (c) you have all rights, licenses and consents needed to grant the licenses in this Agreement; (d) your Content and conduct comply with this Agreement, the Platform Terms and all applicable laws; and (e) you will not use the Platform for any illegal or unauthorized purpose.
12.2 Platform "as is". The Platform and any related services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose or non-infringement. We do not guarantee any minimum earnings, number of Subscribers or particular exposure for your Content.

13. Limitation of Liability

13.1 Exclusion of damages. To the maximum extent permitted by law, FANS.LA and its affiliates, officers, directors, employees and agents will not be liable for any indirect, incidental, consequential, special, punitive or exemplary damages, including loss of profits, revenue, data or goodwill, arising out of or in connection with this Agreement or your use of the Platform, even if advised of the possibility of such damages.
13.2 Cap on liability. To the maximum extent permitted by law, our total aggregate liability for any claims arising out of or related to this Agreement or the Platform will not exceed the total amount of Creator Share actually paid to you by FANS.LA in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify, defend and hold harmless FANS.LA and its affiliates, officers, directors, employees and agents from and against any and all claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Content; (b) your use of the Platform as a Creator; (c) your breach of this Agreement or the Platform Terms; (d) your violation of any law or third-party rights; or (e) any claim that someone appearing in your Content did not consent or was underage. We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us in asserting any available defenses.

15. Miscellaneous

15.1 Governing law. Unless otherwise required by mandatory local law, this Agreement is governed by the laws of the State of Wyoming, USA, without regard to its conflict of law rules.
15.2 Dispute resolution. Any dispute arising under or relating to this Agreement shall be handled in accordance with the dispute resolution, arbitration and jurisdiction provisions set forth in the FANS.LA Terms of Service, which are incorporated herein by reference.
15.3 Entire agreement. This Agreement, together with the Platform Terms, constitutes the entire agreement between you and FANS.LA regarding your activities as a Creator on the Platform and supersedes any prior or contemporaneous agreements or understandings on this subject.
15.4 Amendments. We may modify this Agreement by posting an updated version on the Platform and/or notifying you by email or in-product message. Your continued use of the Platform as a Creator after the effective date of any change constitutes your acceptance of the updated Agreement.
15.5 Assignment. You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, corporate reorganization, sale of assets or by operation of law.
15.6 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.7 No waiver. Our failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.

16. Acceptance

By clicking "I Agree", creating a Creator Account, or uploading Content as a Creator on FANS.LA, you acknowledge that you have read, understood and agree to be bound by this Content Provider Agreement and the Platform Terms.
